Terms & Conditions of Sale – Echotech Technologies
All goods and services provided by Echotech Technologies are sold under the following terms:
1. Definitions
In these terms:
- 'Company' means Echotech Technologies (85 Great Portland Street, W1W 7LT, London, UK).
- 'Purchaser' means the individual or business purchasing goods or services.
- 'Goods' means any products or services supplied by the Company.
Words in singular include plural and vice versa; references to 'person' include companies and organizations.
2. Terms Apply
Unless agreed in writing, these terms apply to all sales. Any differing terms from the Purchaser are rejected unless the Company agrees in writing.
3. Prices
Prices are as stated in the Company’s quotation or order confirmation. Prices are valid for the period stated. After this period, prices may change without notice.
4. Quotations & Invoices
The Company may correct any errors in quotes, invoices, or other documents. The description and quantity of goods will be as stated in the quotation or order confirmation.
5. Packing, Delivery & Insurance
Costs for packaging, shipping, and insurance are the Purchaser’s responsibility and charged at current rates.
6. Invoicing & Payment
Invoices are issued upon shipment. Payment is due within 30 days from invoice date unless otherwise agreed. Timely payment is essential.
- The Company may request full payment before delivery.
- If the Purchaser fails to pay on time, the Company may:
- Cancel the contract or suspend deliveries.
- Allocate any payments to outstanding debts as it sees fit.
- Charge interest at 1% per month on overdue amounts.
7. Delivery
Delivery is to the Purchaser’s stated address. Delivery dates are estimates only. The Company is not liable for delivery delays and may deliver in parts. Risk passes to the Purchaser upon delivery, and insurance is advised.
8. Ownership of Goods
Ownership stays with the Company until full payment for all goods has been made.
- Until full payment, the Purchaser may not sell, transfer, or otherwise deal with the goods.
- If the Purchaser fails to pay or becomes insolvent, the Company may recover the goods from any premises without notice.
- If the Purchaser wrongly sells the goods, they must hold the proceeds for the Company and assign claims to the Company if requested.
9. Returns
Goods may only be returned with the Company’s written consent. Unauthorized returns will be refused.
10. Order Cancellations & Changes
Orders cannot be changed or cancelled without the Company’s written approval. The Purchaser must pay costs or losses resulting from any changes or cancellations.
11. Damaged Goods
The Company is not liable for goods damaged after shipment. Any claims for damage or defects present before shipment must be made within 14 days of delivery.
12. Shortages
Shortages must be reported in writing within 7 days of shipment.
13. Limitation of Liability
All implied warranties are excluded to the fullest extent permitted by law. The Company is not responsible for any indirect or consequential losses.
14. Work on Purchaser’s Premises
If Company employees work on the Purchaser’s premises, the Purchaser will indemnify the Company for any claims arising.
15. Purchaser Responsibility
The Company is not liable for any loss caused by the Purchaser’s failure to meet their obligations under the contract.
16. Assignment
The Purchaser may not transfer their contract rights without the Company’s written consent.
17. Recovery Costs
The Company may recover legal costs and expenses incurred in collecting overdue payments.
18. Export
Export terms are ex-works and subject to specific agreements.
19. Warranties
Goods are covered by the manufacturer’s warranty (if applicable). Warranty coverage requires full payment to have been made.
20. Force Majeure
The Company is not liable for delays or failures caused by circumstances beyond its control.
21. Governing Law
All contracts are governed by English law and disputes will be settled in English courts.
22. Product Use Restrictions
Goods may not be used in life-support systems, nuclear facilities, or aircraft without prior written consent.
23. Headings
Headings are for guidance only and have no legal effect.
